Terms of Service
Last updated: 2026-11-03
These terms govern use of clipwright.eliteaiempire.com ("the Service"), operated by Elite AI Holdings LLC ("we", "us"), a limited liability company. By using the Service you agree to them.
1. What the Service does
The Service produces short vertical video clips from source video you supply or identify, and records scheduling intents. It does not publish to any social platform at this time.
2. Rights in source material — the core obligation
You may submit source video only where one of the following is true and you have registered the corresponding grant: (a) you own it or control the rights to it; (b) a rights holder has licensed it to you through an opt-in content programme whose brief grants that licence; (c) you hold a written licence covering the use; or (d) it is under an open licence (Creative Commons, public domain) and you supply the attribution that licence requires.
We verify the grant you register, and we refuse jobs that no grant covers. That verification is a control on our side, not a legal opinion and not a warranty that your use is lawful. Fair use is decided case by case by a court and cannot be established in advance by any tool, including this one.
3. Prohibited uses
You may not use the Service to clip material you have no right to clip, to impersonate a person or brand, to evade a platform's copyright or reused-content rules, or to create content that is unlawful where you or your audience are.
4. Platform rules are yours to keep
Each destination platform has its own terms. Publishing clips may still breach those terms even where your rights in the footage are sound — for example a channel built on reused content may lose monetisation. You remain responsible for compliance on every account you post from.
5. Your content and ours
You keep all rights in your source video and in the clips produced from it. You grant us only the limited, revocable licence needed to process, store and deliver those clips to you. We claim no ownership of your output.
6. Availability, fees and changes
The Service is in pre-launch. No fees are charged today and no payment method is collected. Prices shown are planned and may change before launch. We may modify or discontinue features.
7. Disclaimers
The Service is provided "as is", without warranties of any kind to the extent permitted by law. We make no representation about views, revenue, approval by any programme, or the outcome of any copyright dispute.
8. Limitation of liability
To the maximum extent permitted by law our aggregate liability arising out of the Service is limited to the greater of the fees you paid us in the twelve months before the claim, or one hundred US dollars.
9. Indemnity
You will indemnify us against claims arising from source material you submitted without the rights you represented you had.
10. Termination
We may suspend or terminate access for breach of these terms, including repeated submission of material you do not have the right to use.
11. Governing law
Elite AI Holdings LLC is a Wyoming limited liability company. These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules.

13. Posting to TikTok
If you connect a TikTok account, these additional terms apply to that feature.
What the feature does
"Connect TikTok" lets you authorise Clipwright to post, to the TikTok account you connect, a clip you created in Clipwright from source video you had the rights to clip under Section 2 above. Every post requires your explicit confirmation on a per-post screen showing the clip, the privacy setting, and the TikTok consent text that applies; we do not post automatically, on a schedule, or in bulk.
The same per-post screen also lets you send that one clip to your TikTok inbox as a draft instead ("Send to TikTok as a draft"). A draft is sent only when you click that button, one clip per click. We send TikTok the clip only; the privacy, interaction and commercial-content settings on our screen do not apply to a draft. You finish the draft in the TikTok app, where you choose those settings and decide whether to post it, and TikTok's own terms apply to that step.
The REST API and MCP server cannot post and cannot send anything to your TikTok inbox. They can only show the settings preview for a clip (which the API calls a "draft"); posting or sending a draft to TikTok only happens from the per-post screen.
Your TikTok account, your responsibility
You must be the authorised holder of the TikTok account you connect, and you may connect one TikTok account. You remain responsible for everything posted through the feature and for your own compliance with TikTok's Terms of Service, Community Guidelines, Music Usage Confirmation and, where applicable, Branded Content Policy. We are not a party to your relationship with TikTok and do not control how TikTok treats your account or your posts.
No watermark, no bulk
We do not add a Clipwright watermark, logo, link or other promotional branding to any clip you post to TikTok through this feature, and we do not operate the feature as a bulk upload or account-management tool. We and TikTok limit how many posts and drafts can be made per minute and per day, and how many drafts can be waiting in your TikTok inbox at once; posts and drafts share the same limits. Until TikTok has completed its review of our app, every post made through the feature is visible only to you (private) on TikTok; the dashboard tells you which mode currently applies.
Disconnecting
You may disconnect your TikTok account at any time from the Clipwright dashboard, which asks TikTok to revoke our access token, or from TikTok's own account settings. See the Privacy Policy for what happens to stored data after you disconnect.
